2. Scope
These terms of sale apply to contracts concluded between the Service Provider and the Client for digital services and project-based IT services.
Services are not sold through an online store and cannot be ordered via a shopping cart system.
3. Contract Conclusion and Ordering Process
Services are ordered as follows:
- The Client submits a request via email or another agreed communication channel.
- The Service Provider provides a quotation or project description.
- The contract is considered concluded after:
- written acceptance of the quotation by the Client, or
- payment of an advance invoice, if required.
Service provision begins according to the written agreement between the parties.
4. Prices and Payment Methods
Service fees are determined on a project basis according to the quotation or agreed hourly rate.
Invoices are payable within 7–14 calendar days unless otherwise agreed.
Payment methods:
- Bank links and card payments (via Maksekeskus AS)
- Bank transfers from the Client's bank account to the Service Provider's Coop Bank account
Maksekeskus AS securely processes bank links and card payments.
The Service Provider does not have access to the Client’s banking information.
The contract takes effect upon receipt of the payable amount in the Service Provider’s account, unless otherwise agreed.
If invoices remain unpaid, the Service Provider may suspend service provision.
Late payment interest may apply in accordance with Estonian law.
5. Service Provision and Digital Content Delivery
Services are provided according to the scope and schedule described in the quotation or contract.
The resulting digital content is delivered electronically to the Client (e.g., by email, cloud service, or another agreed method).
The project duration and exact schedule are agreed upon between the parties in the quotation or contract.
6. Right of Withdrawal and Refund Policy
If the Client is a consumer, the 14-day right of withdrawal set out in the Estonian Law of Obligations Act applies.
The right of withdrawal does not apply if:
- the service has started with the consumer’s explicit consent before the 14-day period has expired and the consumer has been informed that the right of withdrawal will end;
- the service has been created according to the client’s individual requirements;
- the service is fully performed before the end of the withdrawal period.
Withdrawal requests must be submitted in a form that allows written reproduction (e.g., by email).
Refunds are processed, if necessary, within 14 days of receiving a justified withdrawal request.
The right of withdrawal does not apply to legal entities.
7. Right to File a Complaint
The Client has the right to submit complaints regarding non-compliance of the service within a reasonable time after a defect is discovered.
The Service Provider will respond in writing or in a form that allows written reproduction within 15 days of receiving the complaint.
8. Personal Data Processing
The Service Provider processes personal data only to the extent necessary for providing the service and processing payments.
The Service Provider is the data controller and transmits the necessary personal data for payment processing to the authorized processor, Maksekeskus AS.
9. Limitation of Liability
The Service Provider’s liability is limited to the amount paid for the specific service, unless otherwise provided by law.
The Service Provider is not liable for indirect damages, lost profits, or business interruptions.
10. Dispute Resolution
Estonian law applies to these terms of sale.
If the Client has complaints, they must be submitted by email to the Service Provider.
If a dispute cannot be resolved amicably, the consumer may contact:
- The Consumer Dispute Committee (Estonia, consumer dispute body), or
- The European Union Online Dispute Resolution (EU ODR) platform.
